These Terms & Conditions ("Terms") govern your access to and use of **talentcortex.ai (the “**Site”) and any related demos, beta programs, waitlist/early-access offerings, or other services we provide (collectively, the “Services”), operated by Talent Cortex Ltd (“we,” “us,” “our”).

By accessing or using the Site or Services, you agree to these Terms. If you do not agree, do not use the Site or Services.

2) Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you confirm you have authority to bind that organization to these Terms.

3) Waitlist, early access, and beta

If the Site offers a waitlist, early access, or beta:

  • Joining a waitlist does not guarantee access.

  • We may accept, reject, pause, or end early access/beta at any time.

  • Beta features may be incomplete, change frequently, or contain errors.

4) Acceptable use

You agree not to:

  • Use the Site/Services for unlawful, harmful, or fraudulent activities.

  • Attempt to gain unauthorized access, interfere with security, or disrupt the Site/Services.

  • Upload, transmit, or distribute malware or harmful code.

  • Reverse engineer, decompile, or attempt to extract source code (except where prohibited by law).

  • Use the Services to create, share, or distribute content that infringes intellectual property, violates confidentiality, or misuses personal data.

We may suspend or restrict access if we reasonably believe you have violated these Terms.

5) AI outputs and professional disclaimer

The Services may generate content using AI (e.g., draft job descriptions, competency text, org design suggestions, KPIs, learning/career pathway recommendations).

You acknowledge and agree that:

  • AI-generated outputs may be inaccurate, incomplete, or not suitable for your specific context.

  • You are responsible for reviewing, validating, and approving any outputs before use.

  • The Services do not provide legal, tax, HR, regulatory, or professional advice.

6) Your content

User Content” includes information you submit (text, files, prompts, documents, and other inputs).

You represent and warrant that:

  • You have the necessary rights and permissions to provide User Content.

  • Your User Content does not violate any law, contract, or third‑party rights.

Sensitive data: Do not upload highly sensitive personal data, confidential government information, or regulated data unless we have explicitly agreed to support it under a separate written agreement (e.g., enterprise terms or a data processing addendum).

7) Privacy and cookies

We take privacy seriously. At this stage (landing page / waitlist), we typically collect limited information such as your name, email address, company name, role, and any details you choose to share.

We use this information to:

  • administer the waitlist and provide early-access updates;

  • respond to inquiries and support requests; and

  • improve the Site and understand interest in the Services.

Marketing: You can unsubscribe from marketing emails at any time using the unsubscribe link in our messages.

Cookies: We may use essential cookies for site functionality and security, and may use analytics cookies to understand how the Site is used. You can control cookies through your browser settings and, where available, any cookie preferences banner.

8) Intellectual property

The Site, Services, software, designs, trademarks, logos, and all associated content (excluding User Content) are owned by us or our licensors and protected by applicable laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site/Services for your internal business purposes, subject to these Terms.

9) Feedback

If you provide suggestions, feedback, or ideas (“Feedback”), you grant us a perpetual, worldwide, royalty‑free right to use and incorporate that Feedback without compensation or obligation to you.

10) Third‑party services and links

The Site/Services may integrate with or link to third‑party tools (e.g., analytics, authentication, hosting, payments). We are not responsible for third‑party services, and your use of them is governed by their terms.

11) Availability and changes

We may modify, suspend, or discontinue the Site/Services (in whole or part) at any time.

We may update these Terms periodically by posting a revised version on the Site and updating the “Last updated” date. Your continued use after changes means you accept the updated Terms.

12) Disclaimers

To the maximum extent permitted by law, the Site/Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non‑infringement, and uninterrupted availability.

13) Limitation of liability

To the maximum extent permitted by law:

  • We will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenues, data, or goodwill.

  • Our total liability for any claim relating to the Site/Services will not exceed the greater of:

    • the amount you paid to us in the 12 months before the event giving rise to the claim, or

    • USD $100 (or equivalent).

(Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.)

14) Indemnity

You agree to indemnify and hold us harmless from claims, damages, liabilities, and expenses (including reasonable legal fees) arising from:

  • your User Content,

  • your use of the Site/Services,

  • your violation of these Terms, or

  • your violation of any law or third‑party rights.

15) Termination

We may suspend or terminate your access to the Site/Services at any time if we reasonably believe you violated these Terms or if required for security, legal, or operational reasons.

16) Governing law and jurisdiction

These Terms are governed by the laws of the Dubai International Financial Centre (DIFC) laws, excluding conflict‑of‑law rules.

Disputes will be resolved exclusively in the courts of the DIFC Courts in Dubai, United Arab Emirates, unless you choose to add arbitration/mediation language.
